Terms of Service

Introduction

These Terms of Service (“Terms”) govern access to and use of the website, platform and services operated by Platform Legal Name (“Platform”, “we”, “us” or “our”).

The Platform provides a software-based invoicing and payment facilitation service that allows third-party vendors (“Vendors”) to issue invoices and collect payments from their customers (“Customers”) using Stripe Connect (Express accounts).

By accessing or using the Platform, Vendors and Customers agree to be bound by these Terms.

Platform Role & No Payment Custody

• The Platform is a technology service provider only.
• We are not a bank, money transmitter, or payment processor.
• We do not hold, control, or custody funds.
• All payments are processed directly by Stripe and paid directly to Vendors.
• The Platform is not a party to transactions between Vendors and Customers.

Stripe Payment Processing

Payments are processed by Stripe, Inc.

By using payment features, you agree to:

• Stripe Services Agreement
• Stripe Connect Account Agreement

Stripe collects and processes payment information in accordance with its own privacy policy.

Vendors

Vendors are independent U.S.-based businesses that use the Platform to:

• Create invoices
• Invite customers to add payment methods
• Collect payments through Stripe Express accounts

Vendors:

• Are solely responsible for their goods and services
• Must comply with all applicable laws
• Must maintain a valid Stripe Express account

The Platform may suspend or terminate Vendor access for violation of these Terms.

Customers

Customers are individuals or entities invited by Vendors to:

• Add a payment method
• Pay invoices issued by Vendors

Customers are not required to create an account on the Platform.

Checkout Page & Vendor Representation

For purposes of payment collection and data processing, the Platform acts as the authorized payment interface on behalf of Vendors.

On checkout pages:

• The Platform facilitates data collection as the Vendor’s authorized agent
• Payment data is collected solely to process Vendor invoices
• Funds are paid directly to the Vendor

Subscription Fees

• Vendors pay a subscription fee to access the Platform
• The Platform does not charge transaction or processing fees
• Stripe fees are charged separately by Stripe

Refunds, Disputes & Chargebacks

• Refunds and disputes are handled solely by the Vendor
• Chargebacks are managed through Stripe
• The Platform has no obligation to resolve payment disputes

Prohibited Use

Users may not:

• Engage in fraud or unlawful activity
• Misuse payment systems
• Violate Stripe policies
• Infringe intellectual property rights

Limitation of Liability

To the maximum extent permitted by law:

• The Platform is not liable for Vendor or Customer actions
• The Platform is not liable for payment failures or disputes
• Total liability is limited to subscription fees paid

Indemnification

Vendors agree to indemnify and hold harmless the Platform from claims arising from:

• Their goods or services
• Invoices issued
• Payment disputes
• Legal violations

Termination

We may suspend or terminate access at any time for violation of these Terms or Stripe requirements.

Governing Law

These Terms are governed by the laws of the United States and the State of DE.
